询盘和发盘是贸易磋商正式开始的初始环节,其中发盘是必不可少的步骤。正式发盘函又称报价,在法律上称为“要约”。它是买方或买方向对方提出各项交易条件,并愿意按照这些条件达成交易,订立合同的一种肯定的表示。出口商一般会在两种情况下发盘:一种是主动向客户发盘,此时由于不知道客户的购买意向,应多考虑发盘的完整性和吸引力;另一种是在收到客户的询盘后作出答复,此时发盘应具有针对性,有的放矢的对对方感兴趣或符合对方要求的商品进行发盘。
第一节 询盘
一、询盘的类型:
询盘也称询价,是为了试探对方对交易的诚意和了解交易条件的意见。其内容可以涉及价格、品质、数量、包装、交货期以及索取样品、商品目录等,而多数在询问价格。
询盘可以是买方发,也可以是卖方发,可用口头、书面形式。书面形式可以用电传、电报、邮件,还可以用询价单来询价或是用商务信函来询价。以下两个询价的实例:
买方询盘:Please quote lowest price CFR Singapore for 500 PCS Flying Pigeon Brand bicycle May shipment cable promptly.
请报500辆飞鸽牌自行车CFR新加坡的最低价,五月装运,尽速电告。
卖方询盘:Can supply aluminum ingot 99% pct July shipment PIS cable if interested. 可供99%铝锭,七月份装运,如有兴趣请电告。
二、写信要点:

第二节 发盘
一、四种不同的发盘形式
(1)书信式发盘
采用传统信函的方式进行发盘,一般在正文中直接将报价条件一一列出。
(2)表格式发盘
书信式发盘的一种特殊形式,即在正文中专门列出表格说明报价条件,以起到醒目和提示对方注意的作用。表格式发盘的表格一般只列出和商品本身有关的条件,而付款条件、装运条件、注意事项等往往在表格下方列出。
(3)电报式发盘
即在电报中直接列出报价条件。
(4)E-mail发盘
通过E-mail进行发盘是互联网发展起来后常用的一种发盘方式。因其具有速度快、成本低、效率高的特点,故使用越来越广泛,有替代传统发盘方式的趋势。
二、发盘应包含的基本项目
一方发盘时应提出主要交易条件,发盘后不得任意撤销或修改其内容。在发盘的有效期内,发盘一经对方接受,就算达成交易,买卖合同即告成立,双方均受合同的约束。发盘应包含以下基本项目:
(1)编号
即使是同种商品在不同的时期也可能以不同的价格和条件发盘,因此注明编号可便于核对,查询。
(2)日期
作用同编号
(3)规格
规格是表示商品本身的一些指标,一般包括商品的品名、品质、数量、包装等。
(4)付款方式
国际贸易中常用的付款方式有三种:即汇付、托收和作用证。不同的付款方式对买卖双方的风险、费用、责任和义务均不相同。发盘时应说明希望采用的付款方式。
(5)价格
发盘简称发价。可见价格是发盘中最核心的和最敏感的部分。报价时不但要包括单价的四个方面(计量单位、单位价格金额、计价货币、贸易术语)和表明是否包含佣金与折扣,还应注明总金额。
(6)交货条件及日期
交货条件和日期对买卖双方风险责任的划分意义重大,必须在发盘中报明以免将来产生纠纷。
(7)报价方式和有效期
发盘分为发实盘和虚盘:实盘具有法律效力,报价时很确定;虚盘不确定,仅表明报价意向,不具有法律效力。
发盘通常都规定一个有效期,作为对方表示接受的时间限制,超过发盘规定的时限,发盘人即不受约束。发盘人对发盘有效期可作明确的规定,也可不作明确的规定。明确规定有效期的发盘,从发盘被传达到受盘人开始生效,到规定的有效期届满为止。不明确规定有效期的发盘,按法律在合理的时间内有效。
三、发盘函的主要组成部分
完整准确地撰写发盘函可以避免争议,有利于缩短交易磋商的时间,尽快达成。一般而言,发盘函应包含以下内容:
1)以客户的询盘表示感谢。
2)明确答复对方在来信中所询问的事项,准确阐明各项拟交易条件,如:品名、品质、数量、包装、支付方式、运输、保险以及特别条款等,以供对方参考。
3)声明此项发盘的有效期及其他约束条件和事项。
4)鼓励对方尽早订货,并保证供货满意。
