股权转让定金合同范本

xx 有限公司（以下“甲方”）与xx 有限公司（下称“乙方”）就转让xx 有限公司股权之有关事宜，经协商一致，达成如下协议：

第一条 标的物

甲方将其拥有的公司%股权转让给乙方。

第二条 定金及付款安排

为保证本协议的顺利履行，在本协议经双方签定后____日内，受让方应付给甲方____万，作为受让方履行协议的定金。

如果因转让方的原因导致本协议在签字后____日内无法得到审批机构的批准，转让方应双倍返还受让方的定金；如果受让方在本协议生效日后____日内仍未能全部支付转让价款，则受让方已付定金归转让方所有。如果非因转让方的原因导致本协议签字后____日内无法得到审批机构的批准，则转让方应在该____日期满后____天之内将定金全部无息

在转让方收到受让方定金之后，双方应立即到审批机关办理转让股权的相应手续。在生效日后____日，受让方付给甲方____万，余款在一年内付清（不计利息），受让方已支付的定金将作为转让价款的一部分。

在签定本协议后，双方应积极到有关的工商管理部门尽快完成股权变更的登记。

自生效日起，受让方应根据经审批机关批准的章程，享有相应的权利和承担相应的义务

第三条 甲方责任和义务

a 、保证其转让之股权无法律瑕疵，可以对抗任何第三人；

b 、负责向有关部门办理本次股权转让之审批及变更登记等有关手续；

c 、承担本次股权转让所需缴纳的全部税费。

乙方责任和义务

a 、按照本协议第二条之规定向甲方足额支付价款；

b 、协助甲方办理本次股权转让手续。

第四条、转让前公司的债权债务尽由转让方承担，与乙方无关。

以后条件成熟后，在浦江的分公司的经营归经营，具体协议以后双方商定并执行。

第五条 违约责任

如果受让方未在本协议第二条规定的期限内向转让方支付定金或转让价款，则每延迟一日，受让方应向转让方支付数额为逾期金额万分之____的违约金。

双方同意，如果一方违反其在本协议中所作的陈述或保证，致使另一方遭受任何损失，违约方须赔偿守约方的所有直接损失。

第六条、本协议将提交审批机关批准并自审批机关批准之日生效（“生效日”）。
