一、 服务内容(事务规划):

PART Ⅰ Service content (legal affairs designing)

1、规范、完善贵司各项管理制度

1. Standardizing and improving the management system of your enterprise

1.1 规范和完善各项劳动人事管理制度:

1.1 Standardizing and improving human resources management system of your enterprise

1.1.1起草、修改员工劳动合同、高级管理人员聘用合同、保密合同、竞业禁止协议等雇佣相关文件;

1.1.1 Drafting and modifying labor contracts, senior administrative personnel appointment agreements, non-disclosure agreements, non-competence agreements and other employing-related documents.

1.1.2 根据贵司决定,起草、修改薪酬激励文件、股权或期权奖励文件、分红方案等激励文件;

1.1.2 According to the decision made by the enterprise, drafting and modifying documents related to salary motivation, share ownership and incentive options and bonus awarding etc.

1.1.3 根据贵司决定,修改、完善各岗位职责、职业风险承担、内部惩处规章等岗位管理文件;

1.1.3 According to the decision made by the enterprise, modifying and improving files on position management such as responsibilities for different positions, career risk taking, interior operation regulations.

1.1.4 根据贵司内部基本管理流程,修改、完善各类员工考勤管理文件、各类假期管理文件、外出登记管理文件等工作时间以及假期管理文件。

1.1.4 According to the basic interior management of your enterprise, modifying and improving documents related to working time such as employee attendance checking, holiday management and signing out.

1.2.2 起草和完善各部门、各岗位业务信息收集、传递、归档管理文件;

1.2.2 Drafting and modifying documents on information collecting, delivery and filing of different departments and positions;

1.2.3 修改、完善上下游客户信息反馈、内部处理等管理文件;

1.2.3 Modifying and improving management documents on clients feedback and interior operation;

1.2.4 根据贵司业务特点所确定的其他业务管理文件。

1.2.4 Modifying and improving other management documents decided by the business operation of your company.

1.3 规范和完善资产、财务管理制度:

1.3 Standardizing and improving assets management and accountings system:

1.3.1 根据贵司特点完善固定资产管理文件;

1.3.1 Improving documents on fixed assets management according to your enterprise’s actual practices;

1.3.2 规范现金管理文件;

1.3.2 Standardizing documents on cash management;

1.3.3 规范应收账款管理文件;

1.3.3 Standardizing documents on the management of accounts receivable;

1.3.4 规范其他财务管理制度所需文件。

2、保密制度设计

2. Designing confidential information system:

2.1 贵司内部信息的保密设计:

2.1 Designing interior confidential information system:

主要通过明确内部岗位职责、员工保密协议、内部信息流通管理、对外信息披露管理等制度予以最大程度限制、规范有价值内部信息泄露。

Maximally restricting and standardizing the disclosure of valuable interior information mainly via identifying interior job responsibilities, signing employee’s non-disclosure agreements, managing interior information exchanging and disclosing information towards outside, etc.

2.2 业务往来中信息保密设计:

2.2 Designing confidential information system for business contact:

主要通过交易合同附加保密协议、重大交易对象资信调查、保证金设置、具体联系人员指定等方式防止信息扩散和不当利用。

Preventing proliferating or illegal using the information mainly by means of attaching non-disclosure agreements to business contracts, investigating the credibility of important business partners, establishing guarantee system, specifying connection person, etc.

3、人员培训

3. Staff training:

3.1 对公司指定人员进行业务相关定期法律培训和不定期法律培训;

3.1 Offering regular and irregular legal knowledge training related to business to staffs specified by the enterprise;

3.2 对公司涉密人员进行商业秘密保护方面法律培训和咨询;

3.2 Offering legal knowledge training and consultation on the protection of business confidential information to staffs, who have access to the confidential information;

3.3 根据贵司要求,对相关人员进行的其他法律培训。

3.3 Offering other legal knowledge training to related staffs.

4、起草、修改、审查各类交易合同

4. Drafting, modifying and checking trade contracts:

4.1 起草、修改贵司采购所使用的标准化格式采购协议;

Drafting and modifying standardized format procurement agreements used in procurement;

4.2 根据贵司需要,起草其他标准化合约;

Drafting other standardized format agreements according to needs of your enterprise;

4.3 起草、完善贵司业务销售合约;

Drafting and modifying the sales contract between your company and other companies;

4.4 比较重大的交易合同起草、修改;

Drafting and modifying important business contracts;

4.5 审查、修改交易向对方提供的合同;

Drafting and modifying contracts offering to business partners;

4.6 起草、修改、审查其他类型合同,例如合作合同等。

Drafting, modifying and checking other kinds of contracts such as cooperation agreement.

5、知识产权法律服务

5. Legal service concerning intellectual property rights:

5.1 协助贵司在公司内部建立和完善专利、商标、版权等管理机制,最大程度保护贵司以及客户的知识产权,防止贵司知识产权被侵犯或者员工侵犯他人知识产权现象;

Assisting in establishing and improving management system on patents, trademarks and copyrights within the company, maximally protecting intellectual property rights of your enterprise and clients, lowering the possibility that the intellectual property rights of your enterprise are infringed or your staff infringe others’ intellectual property rights;

5.2 对贵司对外交往涉及知识产权问题提供即时法律咨询;

Offering immediate legal advise on the questions concerning intellectual property rights arising from the business your enterprise is doing;

5.3 贵司可能需要的其他知识产权服务。

Other intellectual property rights service your enterprise may need.

6、应收帐款管理服务

6. Accounts receivable management service:

6.1 根据应收帐款催缴经验,协助贵司完善应收帐款管理制度,提高应收账款催收效率;

6.1 Assisting in improving accounts receivable management system based on our experience in urging back the accounts receivable and making it more efficient;

6.2 通过发律师函、电话等方式协助贵司催缴应收帐款;

6.2 Assisting your enterprise in urging back the accounts receivable via sending lawyer letters or phoning;

6.3 对贵司应收帐款催缴提供即时法律咨询。

7、综合法律咨询

7. Comprehensive legal consultation;

7.1 就贵司在运营过程中遇到的任何法律问题提供咨询;

7.2 就贵司及关联企业员工个人法律问题(劳动纠纷除外)提供法律咨询。

9、诉讼、仲裁法律服务

9 Legal service for litigation and arbitration:

9.1 为贵司各类诉讼、仲裁案件提供全程法律咨询和指导;

9.1 Offering a whole-course legal consultation and guidance to your enterprise in litigation and arbitration cases;

9.2 接受贵司委托,为贵司代理各类诉讼、仲裁案件并按照优惠价格收费。

9.2 Undertaking your enterprise’s consignment and dealing with different kinds of litigation and arbitration cases on behalf of your enterprise and offering a preferential charge.

二、 服务报价:
